Our product design philosophy has always been to create exceptional luxury fragrance products with sustainability at their core. To support this commitment, we work closely with trusted supply partners who align with our standards and values. All suppliers are required to review and commit to our Supply Partner Code of Conduct before commencing work with us. The Code sets out our minimum expectations regarding the health, safety, wellbeing and fair treatment of all individuals throughout our supply chain.

As part of our commitment to diversity, equity and inclusion, CRANBOURN® seeks to build a diverse and inclusive supply chain. We actively encourage opportunities to engage with suppliers that are owned, led, or operated by individuals from historically underrepresented populations and communities, as well as small businesses, local enterprises, and social enterprises. Where suppliers meet our requirements for quality, service, sustainability, ethical standards and commercial competitiveness, supplier diversity is considered as part of our procurement decision-making process. We believe that a diverse supplier base contributes to innovation, resilience, economic opportunity and positive social impact.

The CRANBOURN® Supply Partner Code is based on International Labour Organization (ILO) standards and internationally accepted good labour practices. All our suppliers are expected to embrace both the spirit and intent of this Code of Conduct as part of a shared commitment to responsible business practices.

In 2020, CRANBOURN® joined the B Corp movement, and in 2021 supported the UK’s Better Business Act initiative. Our Supply Partner Code forms an important part of this commitment and reflects the principles set out in our Business Code of Ethics Policy.

Supply Partner Code of Conduct Policy

CRANBOURN® Holdings Limited (hereinafter referred to as “CRANBOURN®” or the “Company”) was founded on the principle that commercial success should be achieved alongside positive social and environmental impact. As part of this commitment, the Company conducts its business in accordance with the highest standards of integrity, fairness, transparency and accountability, while considering the wider environmental, social and governance (ESG) implications of its decisions.

The Company recognises that responsible business practices extend throughout its supply chain. This Supply Partner Code of Conduct (the “Code”) sets out the standards and expectations that apply to all suppliers, subcontractors and sub-suppliers (collectively referred to as “Suppliers”) engaged by CRANBOURN®.

CRANBOURN® expects its Suppliers to share and uphold the same principles and values that guide the Company’s operations. Suppliers are therefore expected to conduct their businesses responsibly, ethically and sustainably, while promoting these standards throughout their own supply chains.

As part of its commitment to diversity, equity and inclusion, CRANBOURN® seeks to build a diverse and inclusive supply chain. The Company actively encourages opportunities to engage with suppliers owned, led or operated by individuals from historically underrepresented populations and communities, alongside small businesses, local enterprises and social enterprises. Where suppliers meet the Company’s requirements for quality, service, sustainability, ethical standards and commercial competitiveness, supplier diversity may be considered as part of the procurement decision-making process. CRANBOURN® believes that a diverse supplier base contributes to innovation, resilience, economic opportunity and positive social impact.

This Code requires compliance with all applicable laws and regulations, as well as adherence to internationally recognised standards and principles, including those established by the International Labour Organization (ILO), the Universal Declaration of Human Rights, the OECD Guidelines for Multinational Enterprises, and the United Nations Global Compact. Where differences exist between legal requirements, industry standards or this Code, the highest applicable standard should be applied.

The provisions of this Code are intended to complement, and not replace, the contractual obligations agreed between CRANBOURN® and its Suppliers. Where a contractual obligation imposes a higher standard than this Code, the contractual requirement shall prevail.

CRANBOURN® reserves the right to assess compliance with this Code and may request reasonable evidence demonstrating adherence to its principles. Any material breach of this Code, applicable legislation, or recognised international standards may result in corrective action being required and, where appropriate, the suspension or termination of the supplier relationship.

1. Work and Human Rights

CRANBOURN® is committed to protecting and promoting human rights throughout its operations and supply chain. We believe that all work should be freely chosen and carried out in conditions that respect the dignity, wellbeing and fundamental rights of every individual.

Suppliers must comply with all applicable labour laws and regulations in the countries in which they operate and uphold internationally recognised human rights standards. This includes respecting the rights of workers and all individuals affected by their business activities, as set out in the Universal Declaration of Human Rights, the International Bill of Human Rights, and the Fundamental Conventions of the International Labour Organization (ILO).

CRANBOURN® encourages Suppliers to establish appropriate mechanisms through which employees and other stakeholders can confidentially report actual or suspected human rights concerns without fear of retaliation. Please also refer to our Diversity & Inclusion Policy and Anti-Slavery Policy.

1.1 Forced Labour

Suppliers shall prohibit and refrain from all forms of forced, bonded, compulsory, trafficked or exploitative labour. Employment must be voluntary, and workers must be free to leave their employment in accordance with applicable laws and contractual obligations.

Suppliers shall comply with all applicable legislation relating to illegal, clandestine or undeclared work and shall not retain workers’ identity documents, passports or personal property as a condition of employment.

1.2 Child Labour

Suppliers shall prohibit child labour and comply with all applicable laws, the relevant ILO Conventions, and the United Nations Convention on the Rights of the Child.

No person shall be employed below the legal minimum working age or the age for completion of compulsory education, whichever is higher. Workers under the age of 18 must not be required to undertake hazardous work, night work, or activities that may jeopardise their health, safety or development.

1.3 Harassment and Abuse

Suppliers shall treat all employees with dignity and respect. No worker shall be subjected to physical, verbal, psychological or sexual harassment, intimidation, coercion, corporal punishment, abuse or any other form of inhumane treatment.

1.4 Salaries and Benefits

Suppliers shall provide wages, benefits and working conditions that comply with applicable laws, regulations and collective bargaining agreements.

Compensation should be paid regularly and transparently, enabling workers to meet their basic needs and maintain a standard of living consistent with human dignity. Employees shall receive all statutory and contractual benefits to which they are entitled.

1.5 Discrimination

Suppliers shall provide a workplace free from discrimination, harassment and victimisation.

Employment-related decisions, including recruitment, compensation, training, promotion and termination, shall be based on merit, qualifications and performance and shall not discriminate on the grounds of age, disability, gender, gender identity, marital status, nationality, race, ethnicity, religion, sexual orientation, political opinion, social origin or any other characteristic protected by law.

1.6 Freedom of Association

Suppliers shall respect the lawful rights of employees to form, join or not join trade unions, worker organisations and collective bargaining arrangements of their choosing, without fear of discrimination, retaliation or harassment.

1.7 Working Hours

Suppliers shall comply with all applicable laws and industry standards relating to working hours, overtime, rest breaks and paid leave.

Working hours, including overtime, shall not exceed legal limits and should be managed responsibly to safeguard workers’ health, wellbeing and work-life balance.

1.8 Health and Safety

Suppliers shall provide and maintain a safe, healthy and hygienic working environment that minimises the risk of accidents, injuries and occupational illnesses.

Appropriate policies, procedures, training and controls shall be implemented to identify, assess and manage health and safety risks. Suppliers shall comply with all applicable health and safety legislation and seek continual improvement in workplace safety performance.

2. Business Ethics and Integrity

CRANBOURN® is committed to conducting business with integrity, transparency and accountability. We expect our Suppliers to uphold the same high standards and to operate in compliance with all applicable laws, regulations and recognised ethical business practices.

Suppliers shall conduct their business honestly, fairly and responsibly, maintaining effective policies, procedures and controls designed to promote legal compliance, ethical conduct and the integrity of their operations.

2.1 Fair Competition and Anti-Bribery

Suppliers shall compete fairly and solely on the basis of the quality, value and performance of their products and services.

Suppliers must not offer, promise, authorise, solicit or accept bribes, kickbacks, facilitation payments or any other improper advantage, whether directly or indirectly, in connection with their business activities. Suppliers are expected to comply with all applicable anti-corruption laws, including the UK Bribery Act 2010 and, where applicable, the US Foreign Corrupt Practices Act (FCPA).

Suppliers shall not engage in anti-competitive practices, including price-fixing, market sharing, bid rigging or the improper exchange of commercially sensitive information.

2.2 Conflicts of Interest

Suppliers shall avoid situations that create, or appear to create, a conflict between their interests and those of CRANBOURN®.

Any actual, potential or perceived conflict of interest relating to business conducted with CRANBOURN® shall be disclosed promptly so that appropriate steps can be taken to manage the situation transparently and fairly.

2.3 Anti-Money Laundering

Suppliers shall comply with all applicable anti-money laundering and counter-terrorist financing laws and regulations.

Suppliers shall maintain appropriate controls to identify and prevent financial transactions that may involve money laundering, fraud, corruption or other criminal activity. Business relationships giving rise to reasonable concerns regarding the source of funds or the legitimacy of activities should be appropriately investigated and addressed.

2.4 Relationships with Public Officials

Suppliers shall not offer, provide or authorise any payment, gift, hospitality or other benefit intended to improperly influence a public official, government representative or public service appointee.

All interactions with public authorities shall be conducted lawfully, ethically and transparently.

2.5 Transparency and Accuracy of Information

Suppliers shall maintain accurate business records and provide information to CRANBOURN® that is complete, truthful and not misleading.

Suppliers shall be transparent regarding their operations, supply chains, production facilities, sourcing practices and the characteristics of the products and services they provide.

2.6 Confidentiality, Data Protection and Intellectual Property

Suppliers shall protect confidential information entrusted to them by CRANBOURN® and shall use such information only for authorised business purposes.

All designs, specifications, documents, formulations, samples, prototypes, commercial information and other proprietary materials disclosed to Suppliers shall be treated as confidential unless otherwise agreed in writing.

Suppliers shall comply with all applicable data protection and privacy laws, including the General Data Protection Regulation (GDPR) where applicable.

Suppliers shall respect and protect intellectual property rights. Unless expressly authorised in writing, Suppliers may not use, reproduce, distribute or reference any CRANBOURN® trademarks, logos, product designs, copyrighted materials or other intellectual property for any purpose outside the scope of their authorised relationship with the Company.

3. Respect for and Enhancement of Local Communities

CRANBOURN® recognises that businesses have a responsibility to contribute positively to the communities in which they operate. The Company seeks to create long-term social value through responsible business practices, community engagement, charitable initiatives, educational activities, financial and in-kind contributions, and other projects that support sustainable development.

CRANBOURN® encourages its Suppliers to adopt similar commitments by considering the social and economic impact of their activities and by actively contributing to the wellbeing and resilience of the communities in which they operate. Suppliers should seek to minimise adverse impacts while creating opportunities that generate shared value for local stakeholders.

3.1 Tradition and Culture

Suppliers shall respect the cultural heritage, traditions, values and diversity of the communities affected by their operations and business activities.

Where appropriate, Suppliers should engage constructively with local communities, minimise disruption arising from their activities, and promote cooperation, dialogue and mutual understanding.

3.2 Stakeholder Engagement and Community Collaboration

Suppliers are encouraged to engage openly and responsibly with local communities, employees, educational institutions, industry bodies, governments and other stakeholders.

Where possible, Suppliers should support initiatives that contribute to social, cultural and educational development, helping to strengthen community wellbeing and create positive long-term outcomes.

3.3 Supporting Local Economies

Suppliers are encouraged, where commercially appropriate, to support local economic development through the employment of local talent, engagement with local suppliers and service providers, and investment in local capabilities.

By supporting local enterprise and skills development, Suppliers can help contribute to sustainable economic growth and stronger, more resilient communities.

CRANBOURN® supports the principles of sustainable and inclusive development reflected in the United Nations Sustainable Development Goals (SDGs) and encourages Suppliers to consider how their activities can contribute positively to these objectives.

4. Respect for and Protection of Natural Ecosystems

CRANBOURN® is committed to minimising its environmental impact and supporting the transition to a more sustainable future. We recognise the importance of protecting natural ecosystems, conserving resources and reducing the environmental footprint of our operations and supply chain.

The Company actively seeks to reduce greenhouse gas emissions, minimise waste, improve resource efficiency and reduce reliance on single-use plastics. We encourage our Suppliers to adopt similar commitments and to continually improve their environmental performance through responsible business practices and innovation.

4.1 Protecting the Environment and Respecting Animals

CRANBOURN® promotes responsible environmental stewardship for the benefit of current and future generations. Suppliers are required to comply with all applicable environmental laws, regulations and industry standards relevant to their operations.

Suppliers should seek, wherever reasonably practicable, to identify, reduce and mitigate adverse environmental impacts associated with their activities, products and services. This includes responsible management of natural resources, pollution prevention and the protection of biodiversity and ecosystems.

Where animals are involved in business activities, Suppliers shall ensure that they are treated humanely and in accordance with recognised animal welfare standards. Animals should be provided with appropriate care, accommodation, nutrition and veterinary attention, and unnecessary suffering must be avoided at all times.

4.2 Waste Management

Suppliers shall comply with all applicable laws and regulations governing the handling, storage, transportation, recycling and disposal of hazardous and non-hazardous waste.

Suppliers are encouraged to implement measures that reduce waste generation, improve resource efficiency and promote circular economy principles through reuse, recycling and responsible sourcing. Where possible, Suppliers should seek to minimise the use of single-use plastics and transition towards more sustainable materials and packaging solutions.

4.3 Energy, Emissions and Water Stewardship

Suppliers are encouraged to monitor and manage their consumption of energy, water and other natural resources, seeking opportunities to improve efficiency and reduce environmental impact.

Where appropriate, Suppliers should evaluate opportunities to increase the use of renewable energy, reduce greenhouse gas emissions and improve the sustainability of their operations and facilities.

Suppliers are encouraged to measure, monitor and, where possible, reduce their carbon footprint, while considering recognised frameworks such as the Greenhouse Gas Protocol and the objectives of the United Nations Sustainable Development Goals.

CRANBOURN® supports responsible environmental management and encourages Suppliers to contribute positively to the protection of natural ecosystems, biodiversity and the long-term sustainability of the communities and environments in which they operate.

5. Product Responsibility and Safety

CRANBOURN® is committed to creating high-quality products that are safe, responsibly sourced and designed to meet the highest standards of performance, craftsmanship and consumer safety. We expect our Suppliers to share this commitment and to maintain robust quality management systems throughout their operations.

Suppliers are encouraged to continually improve product quality, safety, sustainability and traceability, while ensuring compliance with all applicable laws, regulations and industry standards.

5.1 Quality and Sustainable Product Development

Suppliers shall maintain appropriate quality assurance processes to ensure that materials, components and finished products consistently meet agreed specifications, regulatory requirements and customer expectations.

Suppliers are encouraged to consider environmental impacts throughout the product lifecycle and, where feasible, prioritise the use of recyclable, renewable, reusable, responsibly sourced and locally produced materials. CRANBOURN® supports the development of products and materials that contribute to a more sustainable and circular economy.

5.2 Product and Chemical Safety

Suppliers shall comply with all applicable product safety, chemical management and environmental regulations relevant to the markets in which products are manufactured and sold.

Where hazardous substances are used, Suppliers shall implement appropriate controls to protect the health and safety of employees, consumers and the environment. Adequate training, safety procedures and personal protective equipment shall be provided to workers who may come into contact with such substances.

Suppliers are encouraged to support recognised safety and regulatory frameworks, including the EU REACH Regulation and the International Fragrance Association (IFRA) Standards where applicable.

5.3 Traceability and Responsible Sourcing

Suppliers shall maintain appropriate records and systems to support the traceability of materials, components and products supplied to CRANBOURN®.

Upon reasonable request, Suppliers shall provide information regarding the origin, sourcing and processing of materials used within their products or services. Suppliers are encouraged to promote transparency within their own supply chains and to support responsible sourcing practices that respect human rights, environmental stewardship and ethical business conduct.

CRANBOURN® believes that greater supply chain transparency strengthens product integrity, consumer trust and long-term sustainability.

6. Monitoring, Compliance and Communication

Suppliers shall cooperate with CRANBOURN® and its authorised representatives in assessing and monitoring compliance with the principles and requirements set out in this Code. Upon reasonable request, Suppliers may be asked to provide information, documentation, certifications or other evidence demonstrating compliance with this Code and applicable legal requirements.

Where concerns regarding non-compliance are identified, Suppliers shall cooperate fully with any reasonable review, investigation or assessment undertaken by CRANBOURN®. Suppliers are expected to take timely and appropriate corrective action to address any identified deficiencies and to implement measures designed to prevent recurrence.

Suppliers are responsible for promoting and ensuring compliance with this Code throughout their own organisations and, where appropriate, throughout their supply chains. This includes their directors, officers, employees, agents, contractors, subcontractors and other business partners involved in providing products or services to CRANBOURN®.

CRANBOURN® reserves the right to review compliance with this Code and to determine appropriate actions where material breaches occur. Failure to address serious or persistent non-compliance may result in the suspension, review or termination of the business relationship.

CRANBOURN® will periodically review and update this Code to reflect evolving legal requirements, industry standards and best practices. The latest version of the Code will be made available through the Company’s website, and Suppliers are expected to remain familiar with its requirements.
