Hintergrund
From the outset, the Founders of CRANBOURN® set out to build a different kind of business — one where commercial success is balanced with social and environmental responsibility. CRANBOURN® believes that business should be conducted with integrity, fairness and accountability, while considering the impact of its decisions on workers, customers, suppliers, communities and the environment.

This policy applies to everyone who works for or with CRANBOURN®, including employees, directors, contractors, interns, volunteers, distributors, enterprise customers, supply partners, investors and other business partners.
Purpose
This Business Code of Ethics Policy sets out the principles and standards that guide how CRANBOURN® conducts business. It is designed to help our people and partners make ethical decisions, act responsibly and understand the standards expected when representing or working with the Company.
This policy also explains the consequences of conduct that is inconsistent with our ethical standards, legal obligations or values.
Our Ethical Principles
CRANBOURN® bases its approach to business ethics on the following principles:

Respekt für andere
Everyone who works for or with CRANBOURN® must treat others with dignity, respect and courtesy. We do not tolerate bullying, harassment, victimisation, intimidation, threats, violence or abusive behaviour in any form.
CRANBOURN® is committed to maintaining an inclusive working environment where people feel safe, valued and able to contribute. Anyone who experiences or witnesses inappropriate behaviour is encouraged to report it promptly.

Integrität und Ehrlichkeit
CRANBOURN® expects all employees, contractors and business partners to act honestly, transparently and in good faith. Decisions should be made in the best interests of the Company and its stakeholders, and should support our wider social, environmental and ethical commitments.
We do not tolerate fraud, theft, deception, falsification of records, misuse of Company assets, misrepresentation or any other dishonest conduct. Any such conduct may result in disciplinary action, termination of the business relationship and, where appropriate, referral to the relevant authorities.
Conflicts of Interest
A conflict of interest may arise where personal, financial or other interests interfere, or appear to interfere, with an individual’s ability to act in the best interests of CRANBOURN®.
Employees, contractors and business partners must avoid actual, potential or perceived conflicts of interest and must disclose any such conflict as soon as they become aware of it. Conflicts will be reviewed and managed transparently and fairly.
Anti-Bribery, Anti-Corruption and Fair Competition
CRANBOURN® is committed to conducting business fairly, lawfully and transparently. We do not tolerate bribery, corruption, facilitation payments, kickbacks or improper inducements in any form.
Employees, contractors and business partners must not offer, promise, give, request or accept anything of value intended to improperly influence a business decision or secure an unfair advantage. All gifts, hospitality and business courtesies must be reasonable, proportionate, transparent and never intended to influence decision-making improperly.
CRANBOURN® expects all business activities to comply with applicable competition, anti-bribery and anti-corruption laws, including the UK Bribery Act 2010.
Justice, Fairness and Equal Opportunity
CRANBOURN® is committed to fair and objective decision-making. Decisions relating to recruitment, development, promotion, reward, supplier selection and business relationships should be based on merit, capability, quality, performance, ethical standards and alignment with our values.
We do not tolerate unlawful discrimination, harassment or victimisation on the basis of age, disability, gender, gender identity, marital status, nationality, race, ethnicity, religion or belief, sexual orientation, socio-economic background or any other protected characteristic.
We seek to identify and address bias in decision-making and to promote equal opportunity throughout our business and supply chain.
Human Rights and Modern Slavery
CRANBOURN® respects internationally recognised human rights and expects all employees, contractors, suppliers and business partners to do the same. We support the principles set out in the Universal Declaration of Human Rights, the Fundamental Conventions of the International Labour Organization (ILO), and the United Nations Global Compact.
We do not tolerate forced labour, child labour, human trafficking, exploitation or modern slavery in any part of our business or supply chain.

Lawfulness and Regulatory Compliance
CRANBOURN® is a UK-based company governed by the laws of England and Wales. Everyone working for or with the Company must comply with all applicable laws, regulations, contractual obligations and recognised industry standards relevant to their role and activities.
Where legal or regulatory requirements are unclear, employees and business partners should seek appropriate guidance before acting.
Confidentiality, Data Protection and Intellectual Property
Employees, contractors and business partners must protect confidential information belonging to CRANBOURN®, its customers, suppliers, employees and stakeholders. Confidential information must only be used for authorised business purposes and must not be disclosed without appropriate permission.
CRANBOURN® expects all personal data to be handled lawfully, fairly and securely, in accordance with applicable data protection laws and guidance from the Information Commissioner’s Office (ICO).
Alle CRANBOURN® trademarks, designs, formulations, product concepts, written materials, commercial information and other intellectual property must be protected and may not be used, copied or disclosed without authorisation.
Supplier and Business Partner Conduct
CRANBOURN® expects its suppliers, distributors and business partners to conduct themselves in a manner consistent with this policy and our wider responsible business commitments.
Suppliers are expected to comply with our Verhaltenskodex für Lieferpartner and to uphold ethical standards relating to human rights, labour practices, environmental responsibility, business integrity, product safety and responsible sourcing.
CRANBOURN® also seeks to promote supplier diversity by encouraging engagement with suppliers owned, led or operated by individuals from historically underrepresented populations and communities.
Environmental Responsibility
CRANBOURN® is committed to reducing its environmental impact and supporting more sustainable ways of doing business. Environmental considerations should be reflected in decision-making wherever reasonably practicable, including in sourcing, product development, packaging, operations and supplier relationships.
We expect our employees and business partners to support responsible resource use, waste reduction, recycling, responsible sourcing and continual improvement in environmental performance.

CRANBOURN® expects everyone working for or with the Company to perform their duties with care, competence and accountability. Individuals should take responsibility for their decisions, seek guidance where needed and address mistakes openly and constructively.

Reporting Concerns and Non-Retaliation
Anyone who becomes aware of conduct that may breach this policy, applicable law or CRANBOURN®’s values is encouraged to report their concern promptly. Concerns may relate to unethical behaviour, discrimination, harassment, fraud, bribery, corruption, human rights issues, environmental concerns, safety issues or other misconduct.
CRANBOURN® will review concerns raised in good faith and will seek to handle them fairly, sensitively and appropriately. We do not tolerate retaliation against anyone who raises a genuine concern or participates in a review or investigation.

Failure to comply with this policy may result in appropriate action, including disciplinary action, termination of employment, termination of contracts or business relationships, and, where appropriate, referral to relevant authorities.
The response to any breach will depend on the nature and seriousness of the conduct, the circumstances involved and any steps taken to address or remedy the issue.
Policy Ownership and Review
CRANBOURN®’s leadership is responsible for promoting, implementing and reviewing this policy. The policy will be reviewed periodically to ensure that it remains aligned with legal requirements, recognised standards, B Corp principles and CRANBOURN®’s values.
